Cibigi - Membership Subscription and Services Agreement Terms

This Agreement is made this way: (You immediately agree to the terms below when you Subscribe to and/or Pay for any Cibigi Subscription service.)

BETWEEN: Cibigi services

(hereinafter severally referred to as “Cibigi” “We”“Our”)

AND: You

(hereinafter severally referred to as “Company” “Business” “Member” “Vendor” “Client” or “You”) on this agreement.

The terms and conditions set out herein are legally binding and governs the use of Cibigi Membership Subscription Services. Please read to ensure that you fully understand how the membership subscription services operate before signing.

1. Subscription License services

The Cibigi™ services and software’s that are available as Subscription License services on a 30-day, or 365-day Renewal Subscription License are valid until the renewal date of the Subscription License.

2. Billing Process:

You will be billed 30-day or 365-day Upfront for this Cibigi Membership Subscription Plans. There's a selling fee for each item sold online on Cibigi Marketplace. You can unsubscribe at any time from your Cibigi® Membership Subscription Plan.

There is 0 (Zero) No Transaction Fees for sales on Cibigi Showcase or Cibigi for Retail Services.

3. Software, and Services Updates Release

All free updates for software, and services released under the Cibigi™ subscription license, during this subscription is available to Vendor for free.

4. Subscription Pause and Deactivation

Keep your Cibigi subscription active to keep the Cibigi services your business uses up to date, active, secure, and stable. By ensuring your payment info is always up to date and paying your Cibigi bill/subscription on time. To avoid service interruptions & reactivation fees.

5. Cibigi | Ads – A Paid (Add-on Service)

Cibigi Ads will empower your retail business to advertise the items, foods, and or services you or your business offer to potential customers. While potential customers are using the internet on computers, tablets, and mobile phones in websites and apps for shopping, learning, working, entertainment, and more.

Reach more people with Cibigi Advertising to Drive sales online, Drive foot traffic, Build your brand & more with Cibigi Ads.

6. Ownership of Software

Any Software that we provide to the Vendor are licensed, not sold to Vendor.

7. If we handle Payments with CiBS Pay & Delivery with CiBS Express for you.

Payment & delivery standards time items purchased by customers in Saint Lucia, Vendor may get paid between 2 (two) to 7 (seven) business days. For items purchased by customers in Caribbean countries, vendor may get paid between 7 (seven) to 15(fifteen) working days. For items purchased by customers in international countries, vendor may get paid between 15 (fifteen) to 21 (twenty-one) working days.

CiBS Pay may include transaction fees for each order we handle payments for you.

CiBS Express may include transaction fees for each order we handle delivery for you.

8. Payment to Cibigi services:

Payments made by cheque: Should be made to Cibigi services.
Payments made by cash: Should be given to Vendor’s assigned Vendor’s assistant.
Payments made by debit and credit card: Vendor will receive an invoice by email from Vendor’s assigned Vendor assistant to the email address provided by the Vendor, where vendor can simply click the link in the email and pay.

9. Modification by Us or Partners:

We or our software partners may modify, update, or discontinue the Services, and Software (including any of their portions or features) at any time without liability to a Vendor or anyone else. However, We will make a reasonable effort to notify you before We make the change. If We discontinue a products / Service in its entirety, then We will provide you with a prorated refund for any unused fees for that Service that you may have prepaid.

10. Please keep a copy of all emails, receipts, contracts, and agreements.

Please keep a copy of all emails, receipts, contracts, and agreements given to you by Cibigi services, to better assist you in the event of any misunderstanding.

11. Research and Development

In the event, that any of our software or technology partners fail to make available, quality technology and software. We will take a reasonable effort to research and recommend alternative software and or technology to ensure the continuation of your business operations.

12. We may make changes to these terms at any time.

These terms and conditions are subject to change. A notification shall be sent via email, notifying of the change. Any modifications will also be posted to Cibigi’s Website commerce.cibigi.online and any changes will take effect at the time and date posted on the website and in the email notification.

13. Cibigi Mission

To continue making it more easy, convenient & rewarding for shoppers to easily search, find, buy & receive what they are shopping for.

Provide our clients with the technologies, services, infrastructure, and support to power them for resiliency and growth in this ever-changing age of commerce.

14. Account & Data Deletion

If a Cibigi subscription is Paused/Deactivated for more than 365 Days / 12 months. The account & data associated with the paused subscription will be deleted permanently.

15. Counterpart

This Agreement may be executed via facsimile, email, scan in counterparts, each of which shall be deemed to be an original and all of which together shall constitute one and the same document.

16. Cibigi On-site System Retraining and Support Terms

At Cibigi, we strive to provide the best support and training to ensure your business operates efficiently. Here are our terms regarding on-site retraining and support:

16-1. Included Training Services:

    • Onboarding Training: We provide comprehensive training during the onboarding process to all personnel at your business.
    • Continual Training: Ongoing training is available for staff members who have not yet been trained.
    • Refresher Training: Occasional refresher training is available at no charge if someone forgets key aspects of their training.

16-2. On-site System Retraining:

    • We charge $18.90 USD per hour for on-site retraining at your business location. This fee applies to any on-site retraining for positions we have previously trained your team for.
    • If an attendee does not show up for a scheduled session or fails to cancel at least two hours in advance, a fee of $18.90 USD will be charged to compensate for the training specialist's time.
    • Free online training is available if your team agrees to be trained via online video training meetings, which can be scheduled at an available date. If the scheduled attendee does not show up or fails to cancel at least one hour in advance for at least two scheduled training meetings, a fee of $18.90 USD will be charged.
    • Training usually takes between 1 to 3 hours. We invoice for 3 hours for training sessions, and any unused hours are credited to the client's account as unused paid training hours that can be used at a later date (expires after 90 days).

16-3. On-site System and Services Support:

    • If Cibigi's implemented technologies or services cause the issue, there will be no fee. Our 24/7 support and optimization cover such issues.
    • If troubleshooting reveals the issue is unrelated to the systems, technologies, or hardware the Cibigi team implemented, we will charge an hourly rate of $18.90 USD for the time spent troubleshooting and for any resources used to solve the issue(s).
    • We will charge an hourly rate of $18.90 USD and any materials for any of your existing software, systems, or hardware we had to make changes to, like updates, upgrades, and other resources during the support.

17. Charges for Clients Internal Operational Requests

    • 17-1. Operational Requests
      Certain operational tasks that require the Cibigi team to handle internal business operations at the client’s request are considered chargeable services. These tasks include, but are not limited to, adding new products, adjusting product details, updating pricing, managing inventory, and any other requests related to the day-to-day operations of your business.

Operational requests fall outside the scope of Cibigi's 24/7 Support, Maintenance, and Ongoing Monitoring Services, as these actions are tasks that you or your team have been trained to handle independently. The standard rate for operational requests is $18.90 USD per hour.

    • 17-2. Estimated Time, Cost, and Deposit for Operational Requests

      For each operational request, Cibigi will provide an estimated time and cost before proceeding. Requests estimated at three hours or less may proceed with or without a deposit if confirmation is not received within 15 minutes of our communication. For requests estimated to take over three hours, a 65% deposit must be received prior to initiating any work. Any additional time required beyond the estimate will also be billed at a rate of $18.90 USD per hour.

      1. Example for Request Estimated at 3 Hours or Less
        • Estimated Time: 3 hours
        • Estimated Cost: $56.70 USD
        • Deposit Required: None (request will proceed with or without deposit if confirmation is not received within 15 minutes)
      2. Example for Request Estimated at Over 3 Hours
        • Estimated Time: 6 hours
        • Estimated Cost: $113.40 USD
        • Deposit Required: $73.71 USD (65%)

      Upon completion, an invoice will be issued for the remaining balance and any additional time spent, if applicable.

18. Protection of Intellectual Property, Business Know-How, and Trade Secrets

  • 18-1. Confidentiality of Intellectual Property
    Cibigi™ holds the exclusive rights to all intellectual property related to our proprietary software, business processes, and technology infrastructure. Any software, tools, or systems provided by Cibigi™ under this agreement are licensed for use by the Client as per the Subscription License terms and remain the intellectual property of Cibigi or our partners. The Client acknowledges and agrees that they will not reverse engineer, decompile, or attempt to copy, disclose, or distribute any proprietary aspects of the software or services provided by Cibigi™ without explicit written permission.
  • 18-2. Protection of Business Know-How and Trade Secrets
    Cibigi™ has developed significant business know-how, trade secrets, and operational strategies over the years that are critical to our services' effectiveness. The Client agrees to treat all information shared by Cibigi™ regarding operational strategies, technical expertise, and service structure as confidential. This includes, but is not limited to, methodologies, business strategies, marketing plans, system configurations, and any bespoke services provided to support the Client's business. The Client agrees not to disclose, share, or otherwise misuse this information, both during the term of this agreement and after its termination.
  • 18-3. Access and Limitations
    While Cibigi™ provides administrative access to its platforms for managing non-technical software elements, such as the website, point of sale, and any other software/system we offer access to, including editing product details, pricing, and content. However, technical aspects such as system configurations, coding, or server-side management are restricted to protect Cibigi’s proprietary systems and trade secrets. Cibigi™ retains full control over these areas to ensure system security and the continuous improvement of our services.
  • 18-4. Non-Disclosure Agreement
    The Client agrees to sign and comply with any separate non-disclosure agreements (NDAs) that may be provided by Cibigi™, if required, to further protect Cibigi’s intellectual property, business know-how, and trade secrets. Failure to comply with the terms of this agreement or any applicable NDAs may result in the termination of the Client’s Subscription License and legal action to protect Cibigi’s interests.

19. Cibigi Click It Buy It Get It Terms for Cibigi Search

As a valued subscriber of Cibigi Search services, we want to ensure your products receive optimal visibility and are easily accessible for customers to search, find, purchase, and receive. The Cibigi Click It Buy It Get It terms are essential to provide the easy, convenient, and rewarding shopping experience known as the “Cibigi Experience.” Meeting these terms enables customers using the Cibigi app or Cibigi Search website to effortlessly interact with your products, improving your visibility and maximizing exposure to potential customers.

If your products listed on your Cibigi Showcase online store or website do not meet the Cibigi Click It Buy It Get It terms, access to Cibigi Search may be suspended. During any such suspension, your items will not appear in search results on the Cibigi app or Cibigi Search website, potentially impacting your visibility and sales.

To retain eligibility for Cibigi Search, the following standards must be met consistently:

Complete Availability and Delivery Process

Customers should be able to easily purchase selected items and receive them promptly. This requires accurate inventory management, timely order fulfillment, and a reliable delivery process.

Payment and Fulfillment Reliability

Customers need assurance that once payment is made, their orders will be processed and fulfilled according to the advertised timelines and quality standards.


The CiBS Label Rule

To further support the seamless shopping experience, Cibigi introduces specific product labels with corresponding delivery rules:

  • CiBS: Items labeled “CiBS” are available for direct delivery to homes or workplaces without requiring an in-store visit. The CiBS label is displayed at the end of a product price in grey or light black, signifying its availability for home or workplace delivery.
  • Duty-Free: Items labeled “Duty-Free” are eligible for purchase under Duty-Free conditions and can be delivered to eligible locations as per regulations.

Adherence to these terms and rules not only keeps your products in Cibigi Search results but also enhances customer loyalty and drives sales. Should you require support to meet these standards, Cibigi offers Operational Requests services. Cibigi specialists are available to assist at a rate of $18.90 per hour, typically within a three-hour timeframe depending on your needs. For more details, please refer to Section 17 of the Cibigi Subscription Terms.

This policy is designed to support your business, ensuring customers find value and reliability in shopping from your business on the Cibigi Platforms. By meeting these terms, you uphold the Cibigi Experience, building customer trust and giving your business a competitive edge in today’s retail landscape.

20. Charges and Terms for Clients Customization and New Feature Requests

20-1. Customization and New Feature Requests

Customization and new feature requests involve client-driven changes or additions that go beyond Cibigi’s standard customization support services. These include requests to develop new features, implement specialized system adjustments, or make other custom modifications that require tailored solutions outside of Cibigi’s typical offerings.

Many customization requests begin with a research and discovery phase. This phase helps us determine the best approach for implementing the requested customization or feature. The research and discovery work, billed at $18.90 USD per hour, is required to provide informed suggestions and solutions tailored to the client’s needs. Deposits for customization and new feature requests covering research and discovery are non-refundable. Cibigi reserves the right to determine which customization or feature requests require research and discovery hours.

These tasks fall outside the scope of our 24/7 Support, Maintenance, and Monitoring Services, as they involve specialized work that goes beyond standard support.

20-2. Estimated Time, Cost, and Deposit for Customization and New Feature Requests

For each customization or feature request, Cibigi will provide an estimated time and cost, including any necessary research and discovery time, before proceeding.

For customization or feature requests estimated to take six hours or more, a non-refundable deposit of 65% is required before initiating any work. We also require upfront billing to secure the project before commencing work.

Any additional time beyond the initial estimate will also be billed at a rate of $18.90 USD per hour.

  • Example for Request Estimated at Over 6 Hours
    Estimated Time: 6 hours (including research and discovery)
    Estimated Cost: $113.40 USD
    Deposit Required: $73.71 USD (65%, non-refundable)

Upon completion, an invoice will be issued for the remaining balance and any additional time spent, if applicable.

20-3. Charges and Terms for Showcase/Homepage Design Requests

Clients may request a redesign of their Showcase or Homepage at a rate of $18.90 USD per hour. This service falls outside the scope of standard Cibigi support and is treated as a customization request under Section 20.

Design Process:

  • Most Showcase/Homepage redesigns require a minimum of 72 hours to complete, depending on the complexity of the requested design.
  • The Client must provide examples or ideas of their desired design to guide the process effectively.

Scope of Design:
The Showcase/Homepage design includes:

  • Menu design
  • Homepage layout and color scheme
  • Content arrangement
  • Product display layout
  • Link integration
  • Promotional design elements
  • Full implementation of the design

Non-Refundable Nature:
Due to the custom nature of this service, all charges for Showcase/Homepage design are non-refundable.

Estimate and Payment Terms:

  • An estimate of the time and cost will be provided prior to starting the project.
  • Requests estimated to take six hours or more require a 65% non-refundable deposit.
  • Any additional time beyond the initial estimate will be billed at the standard rate of $18.90 USD per hour.

21. Charges and Terms for Clients On-site System and Services Support

21.1. No-Cost Support for Cibigi-Related Issues

If an issue is identified as stemming from technologies or services implemented by Cibigi, support will be provided at no charge. These cases are fully covered under our 24/7 support, maintenance, and optimization services, ensuring seamless operation for all systems integrated by Cibigi.

21.2. Troubleshooting Non-Cibigi Issues

If troubleshooting reveals that the root cause of an issue is unrelated to Cibigi’s systems, technologies, or installed hardware, an hourly rate of $18.90 USD will apply. This fee covers the time and resources spent investigating and addressing the issue, with comprehensive documentation provided to confirm the cause.

21.3. Support for Non-Cibigi Systems and Hardware Adjustments

When support involves modifications to a client's existing software, systems, or hardware (e.g., performing updates, upgrades, or other adjustments), these services will be billed at an hourly rate of $18.90 USD. Any additional material costs will also be charged as applicable. This ensures that resources dedicated to adjusting third-party systems are transparently accounted for, with upfront communication on the expected time and costs.

23. After Handover Access and Post-Delivery Work Terms

23.1 Definition of Handover Access
Upon completion of a project or service (such as a Cibigi Showcase online store or Cibigi for Retail website), Cibigi will issue a formal Handover Email. This email signifies that the project has been delivered, and the client is granted administrative access to manage their platform's content and operations as agreed upon.

23.2 Review and Acceptance Period
The client has seven (7) calendar days from the date of the Handover Email to review the project and request any necessary changes or corrections. These adjustments must be limited to the scope of the original agreement and are provided at no additional cost during this period.

23.3 Post-Handover Requests
After the seven-day review and acceptance period, any additional work requested by the client—including, but not limited to, design changes, customizations, or updates—will be considered out of scope and will be billed at a standard rate of $18.00 USD per hour.

23.4 Scope of Ongoing Support
Standard support provided by Cibigi includes troubleshooting technical issues directly related to the Cibigi platform as part of the ongoing subscription service. However, requests falling outside the scope of support, such as operational or customization tasks, are subject to charges as outlined in Sections 17 and 20 of this Agreement.

23.5 Billing and Documentation for Post-Handover Work
For post-handover work:

  • Clients will receive an estimated cost and time for the requested work before it begins.
  • Work estimated at three hours or less will proceed with or without confirmation after 15 minutes of communication.
  • For work estimated to take more than three hours, a 65% non-refundable deposit will be required before work commences.
  • Any unused hours from prepaid deposits for post-handover work will remain as credit for future use (expires after 90 days).

23.6 Acknowledgment of Terms
By accepting the handover access, the client acknowledges and agrees to the terms outlined in this section, including the billing structure and scope of ongoing support.

Cibigi - CiBS - Courier Services Terms of Service

1. Introduction

Welcome to Cibigi - CiBS - Courier Services! By requesting a delivery with us, you agree to these Terms of Service. Please read them carefully before using our services.

2. Service Overview

Cibigi - CiBS - Courier Services offers island-wide delivery to homes and workplaces throughout Saint Lucia. Our convenient, four-part request form allows you to arrange pickups and deliveries quickly and efficiently.

3. Delivery Fees and Charges

Flat Delivery Fee:
For orders from Cibigi-verified sellers on Cibigi Showcase online stores or retailers using Cibigi-supported websites and stores, the flat delivery fee is USD $7.00 (XCD/EC $18.90) for items under USD $37.04 (XCD/EC $100.00).

Handling Fee for Higher-Value Items:
Items valued above USD $37.04 (XCD/EC $100.00) will incur an additional 7% handling fee based on the value of the item.

Up to 50%+ Off Delivery:
Customers who place online orders directly from Cibigi-verified sellers’ showcases or retailers on Cibigi online stores (whether hosted or supported by Cibigi), and pay with a debit or credit card, will receive up to 50% off the standard delivery cost, with no additional delivery charges beyond the flat fee.

No Callout Fee:
When you make a debit or credit card payment online for your order, you will save the USD $7.00 (EC $18.90) callout fee and pay only the flat delivery fee and the 7% handling fee for items over USD $37.04 (XCD/EC $100.00).

Delivery Fee Calculation:
Additional charges are based on the destination, item weight, dimensions, 7% of item value, and any selected extra services. A complete invoice will be provided upon submission of your request.

Product Labels and Delivery Rules:

  • Retail-Only: These items are available exclusively for in-store purchase. However, customers may request delivery of "Retail-Only" items after completing their purchase. The retailer is responsible for ensuring that the purchased item is ready for pickup.
  • Duty-Free: Items labeled "Duty-Free" are eligible for purchase under Duty-Free conditions and can be delivered to eligible locations.
  • CiBS: These items are available for direct delivery to homes or workplaces without requiring an in-store visit.

4. Requesting a Delivery

To initiate a delivery with Cibigi - CiBS - Courier Services:

  • Complete the Request Form: Accurately fill out each section, including information about the requester, receiver, items, and pickup details.
  • Special Delivery Instructions: Use the "delivery note" section to provide any special instructions.
  • Label-Specific Requests: Customers requesting delivery for "Retail-Only" items must ensure the item has been purchased from the retailer and is ready for CiBS to collect.

After submitting your request, we will review the details, confirm as needed, and issue an invoice outlining the total cost, including any additional fees.

5. Pickup and Drop-off Requirements

  • Pickup and Drop-off Locations: Ensure all address details are accurate to prevent delays or failed delivery attempts.
  • Pickup Hours: Packages will be collected between 9 AM and 5 PM, based on the selected delivery speed.
  • Directions: Please include specific directions within the community for both pickup and drop-off.

6. Delivery Speed and Timing

Delivery times vary depending on factors such as destination, urgency, and special handling requirements. We offer a range of delivery speeds to meet your needs.

7. Prohibited Items

Cibigi - CiBS - Courier Services cannot transport certain items, including hazardous materials, items restricted under Saint Lucia law, or any items deemed unsafe.

Note: "Retail-Only" items are not prohibited. Customers may request delivery after completing their purchase in-store and ensuring the item is available for pickup.

8. Liability and Insurance

  • Loss or Damage: While we handle all items with care, Cibigi - CiBS - Courier Services is not liable for any loss, damage, or delays beyond our control.
  • Optional Insurance: Insurance coverage is available for high-value items upon request and may incur additional charges.

9. Payments and Refunds

  • Payment Process: Upon approval of your request, you will receive an invoice with the final delivery cost. Payments must be made online before the delivery process can begin.
  • Refunds: Refunds are issued at our discretion, based on service completion, adherence to service requirements, and timing of cancellation.

10. Modification of Terms

Cibigi - CiBS - Courier Services reserves the right to update these Terms of Service at any time. Continued use of our service implies acceptance of any updated terms.
